Ownership

The company is owned by a group of potato growers and companies that have affiliated potato growers and former potato growers that have stopped the production of potatoes. The shares are divided into A and B shares and they have equal voting rights in the general meeting.

The A shares can be purchased by potato growers that are supplying Thorsens Chipskartofler A/S. All A-shareholders, who delivers conventional process potatoes, has a right and a duty to deliver 25 tons of pure potatoes per nominal DKK 1.000 shares. The A-shareholders who delivers organic potatoes, has a right and a duty to deliver 15 tons of pure organic potatoes per nominal DKK 1.000 shares. The last option for A-shareholders is to deliver seed potatoes and for these, the right and duty is 10 tons of pure seed potatoes per nominal DKK 1.000 shares.

In this way Thorsens Chipskartofler A/S are guaranteed a fixed amount of potatoes. Every year the board determines the conditions for the supply contract. It also determines the amount of potatoes a shareholder can deliver beyond its right and duty.

B shares are ordinary shares which investment can be owned by anyone without any included delivery right and duty. It is only A-shareholders who wants to stop their potato production, who can change their A-shares to B-shares, with an approval from the board.
